1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Aether Intelligence ("Aether Intelligence", "we", "us", or "our"), operated by Eric Markowitz in Huntington Station, NY. By engaging our services, visiting aetherintelligenceai.com, or entering into any agreement with us, you agree to be bound by these Terms.

2. Our Services

We provide AI automation services including (but not limited to) AI Voice Receptionists, AI Review Managers, AI Lead Qualifiers, AI Ad Creative Pipelines, and AI Sales Call Analyzers. Services may include one-time setup/build fees and ongoing monthly retainers for hosting, maintenance, monitoring, and updates.

Our services rely on third-party tools and platforms (such as Retell AI, Vapi, n8n, Claude, ElevenLabs, Google APIs, and others). We are not responsible for any downtime, policy changes, pricing changes, or service interruptions caused by these third-party providers.

3. Client Responsibilities

You are responsible for providing accurate business information, granting necessary API access (e.g., Google Calendar, Google Business Profile), and maintaining your own accounts with third-party tools.
For AI Voice Receptionist services: You must ensure that callers are informed they are speaking with an AI system where required by law. You are solely responsible for obtaining any required consents for call recording, data collection, or telemarketing compliance (including TCPA rules).
You are fully responsible for compliance with all applicable laws, including HIPAA if serving healthcare or dental clients. We do not handle or store Protected Health Information (PHI). Any healthcare-related compliance remains your responsibility.

4. Payments and Billing

One-time build/setup fees are due upon receipt of invoice. Monthly retainers are billed in advance and automatically renew each month unless canceled with at least 30 days' written notice. We reserve the right to suspend or terminate services for non-payment.

5. Intellectual Property

We grant you a limited, non-exclusive, revocable license to use the AI systems we build for you during the active term of our agreement. All underlying code, prompts, workflows, and configurations remain the intellectual property of Aether Intelligence unless otherwise agreed in writing.

6. Limitation of Liability

To the fullest extent permitted by law, Aether Intelligence and Eric Markowitz shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the total amounts paid by you to us in the twelve (12) months preceding the claim.

7. Termination

Either party may terminate the services with 30 days' written notice. We may terminate immediately for breach of these Terms, non-payment, or violation of applicable laws.

8. Governing Law

These Terms are governed by the laws of the State of New York. Any disputes shall be resolved exclusively in the courts located in Suffolk County, New York.

9. Changes to Terms

We may update these Terms from time to time. Continued use of our services after any changes constitutes your acceptance of the new Terms.
